Core concept
The UNISOL Group has established a Compliance Manual as a set of basic principles that all officers and employees must follow without exception. This Compliance Manual summarizes matters that require attention with regard to issues of particular importance in the conduct of the Company’s business, and takes the Group’s philosophy as its fundamental principle, under which the following conditions (code of conduct) are stipulated.

- Respect for human rights
We respect the fundamental human rights of all people, including our business partners, officers, and employees. - Legal compliance
Based on our pride and awareness as members of Maruka Furusato Corporation, we will act sensibly and in compliance with laws, regulations, and internal rules, and strive to make our company one that is trusted by society. - Promotion of communication
We will thoroughly implement the mantra of “Ho-Ren-So” (Report-Inform-Consult) so that information, whether good or bad and obtained from inside or outside the Company, will be promptly disseminated and shared throughout the Company. - Participation in local community activities
As members of our local communities, we will actively participate in local activities and contribute to the creation of comfortable and prosperous communities. - Consideration of the environment
In our daily operations, each of us strives to eliminate “muri, mura, and muda” (unreasonableness, inconsistency, and inefficiency), and we aim to provide environmentally friendly products by maximally conserving resources and energy. - Winning the trust of business partners
We will always listen to the needs of our business partners, respond with sincerity, incorporate their requests, and strive to put our business partners first. - Establishing relationships of trust with business partners
We will respect and fulfill our contractual obligations to our business partners and strive to build and maintain a relationship of mutual trust through the requisite communication. - Workplace environment
We will provide a safe and comfortable work environment so that all workers can work with peace of mind and perform their duties efficiently. - Sound relationships with business partners
We will provide mid-year gifts, year-end gifts, congratulations, condolences, parting gifts, etc. to our business partners within the scope of socially accepted norms, and will prohibit entertainment and gifts to public officials, whether business or personal. - Dealing with anti-social forces
We shall have no relationship with anti-social forces that threaten social order and safety, and shall take a resolute stance against any unreasonable demands without compromise.
Compliance system
For the purpose of establishing, fostering, and consolidating a compliance system for the entire Group, and thereby to effectively and efficiently promote compliance, we have set up a Compliance Committee. This Committee is chaired by our President, or an officer appointed to the role by the President, and its membership consists of officers and employees designated by the President. The President convenes the Committee as and when required.
Whistleblowing system
In accordance with the Whistleblower Protection Act, the UNISOL Group has established a Compliance Line to handle anonymous reporting. Our Whistleblowing Regulations forbid dismissal or any other detrimental treatment of a whistleblower in response to the fact that they consulted or reported information to this service. There were four cases of whistleblowing during the fiscal year ended December 31, 2024, but no serious incidents.
Operation of our Compliance Line
- Our internal point of contact for the Compliance Line is the General Manager of our General Affairs Division, while Chuo Sogo Legal Professional Corporation acts as the Line’s external contact point. Should a staff member discover any behavior that contravenes or threatens to contravene our Compliance Manual, or inadvertently engage in such behavior themselves, this behavior should be promptly reported to and discussed with the Compliance Line.
- All officers and employees will cooperate as required to allow the relevant company or companies to investigate the facts of the case and take appropriate action, including preventing a reoccurrence.
- The General Affairs Division and any supervisor party to the report or consultation will not reveal the identity of the whistleblower without that individual’s consent, and, further, will take measures to prevent any detrimental treatment of the whistleblower in response to their report or discussion of information.
- Reports and consultations can be initiated verbally, by telephone, in writing, by e-mail, or in various other ways.
- The choice of whether to report to or consult with our internal or our external point of contact is the whistleblower’s.
Harassment prevention
The UNISOL Group has established Internal Rules for the Prevention of Harassment and is working to prevent harassment.
Employees receive annual training about harassment, which was attended by 100% of staff (staff of domestic consolidated subsidiaries) in FY2024. On a dedicated website on the Company intranet, we also share messages on the subject from the President and upload online seminars from lawyers external to the Company in the aim of further fostering awareness around harassment prevention.
Anti-corruption
To prevent corruption and anti-competitive conduct, the UNISOL Group has set out Compliance Rules for Business Partnerships as part of our Compliance Manual.
